The plain-language explanation helps a signer understand the practical boundary. The complete covenant and incorporated document shown here are preserved with each submitted recipient attestation. HomeSifter approval, completed schedules, or countersignature may still be required before a mutual agreement or access exists.
Incorporated documents
Every recipient attestation identifies the document version and SHA-256 digest.

Material covenants
Each legal commitment remains displayed beside—not replaced by—its natural-language explanation.
You may evaluate the disclosed outcomes only for the business decision identified in this record. Signing does not grant product access, source access, implementation training, or permission to build anything.
Recipient may use Confidential Information solely for the transaction-specific Permitted Purpose recorded with this attestation and during the recorded Evaluation Period. Evaluation Access is limited, revocable, and does not grant any source-code, object-code, patent, copyright, trade-secret, formula, model, schema, architecture, implementation, training, development, sublicensing, resale, white-label, hosting, or other technology right by disclosure, implication, estoppel, or otherwise. Any hosted-service or output right requires a separately executed Order.
Evaluation Agreement §§ 1 and 4; Hosted Access Agreement §§ 2–3Only named people who need the information may receive it. If something unintended becomes visible, stop, report it, and follow HomeSifter’s return or deletion instructions.
Recipient and the individual signer shall protect Confidential Information using no less than reasonable care, use it only for the Permitted Purpose, preserve all markings, and disclose it only to authorized persons with a strict need to know and binding duties at least as protective. Accidental visibility or receipt does not authorize use or retention. Recipient shall stop access, promptly notify HomeSifter, preserve only the evidence reasonably required to report the event, and return or delete the material as directed.
Evaluation Agreement §§ 2, 5, and 9; Hosted Access Agreement § 11Do not photograph, record, transcribe, scrape, export, copy, cache, or combine observations into a build plan unless the written session authorization expressly allows a specific item.
Except for an exact item affirmatively authorized in the session record, Recipient and the individual signer shall not photograph, screenshot, screen-record, audio-record, video-record, stream, mirror, print, transcribe, OCR, scrape, crawl, export, download, cache, archive, bulk-query, systematically compare, copy, or reproduce any demonstration, Controlled Material, Service behavior, or Authorized Output, nor combine observations across sessions or sources to reconstruct an omitted sequence, rule, mapping, implementation, or substitute-product specification.
Evaluation Agreement § 6; Hosted Access Agreement § 5Do not put HomeSifter’s nonpublic material into ChatGPT, meeting assistants, transcription tools, copilots, embeddings, private models, or any other AI system unless a signed exception names the exact system and use.
Recipient and the individual signer shall not upload, paste, attach, transmit, expose, prompt with, train on, fine-tune with, ground on, retrieve from, embed, index, benchmark, evaluate, test, summarize, or generate code, requirements, designs, or other material from Confidential Information or Controlled Materials using any public, enterprise, private, local, or agentic AI System, meeting assistant, transcription bot, browser copilot, automated note-taker, or persistence mechanism, except under an exact written exception approved by HomeSifter.
Evaluation Agreement § 7; Hosted Access Agreement § 5Do not inspect hidden technical details, vary inputs to discover rules, test security, reuse credentials, or turn the demonstration into requirements for another system.
Recipient and the individual signer shall not use or materially rely on Confidential Information or Evaluation Access to reverse engineer, decompile, disassemble, decode, derive, reconstruct, infer, model-extract, probe, enumerate, benchmark for substitute development, inspect nonpublic APIs, logs, prompts, credentials, browser storage, source maps, network traffic, hidden fields, or systematically vary inputs to discover nonpublic rules, formulas, thresholds, configurations, mappings, state transitions, security limits, or other behavior. No security testing, credential reuse, exploit, or access beyond the presenter-authorized action is permitted.
Evaluation Agreement § 8; Hosted Access Agreement §§ 4–5You remain free to compete and independently develop. But you may not use what HomeSifter shows or tells you to build, manage, commission, teach, procure, or help anyone create a substitute—whether as an employee, contractor, consultant, project manager, co-owner, licensor, or vendor.
Recipient and the individual signer shall not use or materially rely on Confidential Information, Controlled Materials, Product Intelligence, or Evaluation Access to prepare or cause any person or AI System to prepare substitute-product requirements, prompts, tickets, diagrams, schemas, workflows, datasets, acceptance criteria, training materials, code, designs, or specifications; or to develop, commission, manage, supervise, procure, finance, license, co-own, operate, teach, delegate, outsource, consult on, or otherwise assist a substitute feature, service, implementation, or commercial offering. This restriction applies regardless of whether the activity is performed as an employee, officer, contractor, consultant, project manager, adviser, reseller, licensor, joint venturer, investor, or independent provider. It restricts misuse of HomeSifter disclosure and access; it is not a general covenant not to compete and does not prohibit demonstrably independent development without use of or reference to protected information.
Evaluation Agreement §§ 3 and 8; Hosted Access Agreement §§ 3, 5, and 12Every observer must be named and bound before access. You cannot relay the session to a developer, consultant, vendor, client, affiliate, recorder, or system that has not been authorized.
Recipient shall admit only named Authorized Attendees and permitted Representatives with a strict need to know and binding protective duties. Every technical, product, developer, consultant, contractor, client, or other observer must execute an individual joinder before access. Recipient is responsible for acts and omissions of its personnel, affiliates, contractors, systems, and Representatives as if its own, and the individual signer shall not admit, share with, relay to, or enable an unlisted person or system.
Evaluation Agreement § 9 and Schedule 5Property data, photos, remarks, maps, lender information, and consumer information may belong to others. The demonstration does not give you a license to collect, retain, redistribute, train on, or reuse it.
Recipient obtains no right to collect, copy, train on, sublicense, resell, publish, bulk-download, retain, remove attribution from, or reuse Third-Party Data, including MLS, broker, photographer, map, lender, consumer, or property content. Operative source licenses, role limitations, privacy duties, attribution rules, and retention requirements control. Recipient shall not expose private remarks, retain a photo outside its authorized context, or treat a demonstration or Authorized Output as granting a data, brokerage, lending, or consumer-information license.
Evaluation Agreement § 10; Hosted Access Agreement §§ 6–8If you see unintended access or a security issue, stop. Report what you observed; do not investigate, exploit, publish, or use it competitively.
Recipient and the individual signer shall stop further access and promptly notify HomeSifter after discovering unauthorized capture, disclosure, access, AI processing, probing, credential use, loss, or a suspected Security Finding. Recipient shall preserve relevant evidence without alteration, cooperate in containment, and shall not investigate beyond the minimum needed to stop the authorized action and report observed facts, retain proof-of-concept material, publish the finding, contact another party on HomeSifter’s behalf, or use the finding competitively, except as law expressly protects.
Evaluation Agreement § 12; Hosted Access Agreement §§ 4 and 8When the evaluation ends or HomeSifter asks, stop using the material, revoke access, delete controlled copies and derived work, and provide an officer-certified deletion record if requested.
At HomeSifter’s request, expiration, or end of discussions, Recipient and the individual signer shall immediately stop use, revoke credentials and links, and return or permanently delete Controlled Materials, permitted notes, derived Confidential Information, cloud histories, meeting artifacts, caches, embeddings, prompt histories, and provider copies. Within five business days when requested, an authorized officer shall certify completion and identify any legally required counsel record, inaccessible ordinary-course backup, or unresolved exception.
Evaluation Agreement § 13 and Schedule 6This is not a blanket ban on competition. Existing knowledge, public information, and independently developed work remain available if you can show they were not derived from HomeSifter’s disclosure or access.
Confidential Information excludes information Recipient proves through contemporaneous written records was lawfully known without restriction before disclosure, became public without breach, was lawfully received from an authorized third party, or was independently developed without use of or reference to Confidential Information or Evaluation Access. Recipient remains free to compete and independently develop or procure products without such use, access, extraction, or reconstruction. Lawful protected reporting and government disclosures remain permitted.
Evaluation Agreement §§ 3 and 16; Hosted Access Agreement §§ 5 and 11Most non-trade-secret duties last five years; trade-secret duties last while the information remains a trade secret. Courts may order appropriate relief. New Jersey law and the stated courts govern. This recipient attestation does not include a jury-trial waiver.
The evaluation agreement continues for five years unless ended earlier. Restricted-use and confidentiality duties for non-trade-secret information continue for five years after each disclosure; trade-secret duties continue while the information qualifies as a trade secret. Subject to required legal findings, available relief may include injunction, preservation, return or deletion orders, actual loss, unjust enrichment, a reasonable royalty, and other lawful remedies. New Jersey law governs, with the contractually stated forum. The signer consents to transact electronically, intends the final affirmative action as an electronic signature for this recipient attestation, and agrees that the preserved version, timestamp, self-asserted identity evidence, clause initials, record hash, and receipt may evidence assent. This online recipient attestation does not include or activate a jury-trial waiver.
Evaluation Agreement §§ 15, 17, 19, and 20Dual-capacity signature design
I enter this attestation personally as an individual attendee and agree directly—not merely through my company—to the confidentiality, restricted-use, no-capture, no-AI, security, data-rights, return/deletion, lawful-reporting, remedies, and electronic-assent obligations presented here and in the incorporated Evaluation Agreement. This personal undertaking is not a personal guaranty of company payment obligations.
I also sign in my stated capacity for the Recipient entity and represent that I am authorized to bind that entity to this recipient attestation and the incorporated restricted-use terms. I understand that falsely claiming authority does not create authority and may create separate consequences. HomeSifter may separately require completed schedules or countersignature before a mutual agreement or access exists.
The individual joinder does not create a personal guaranty of company fees or make a signer personally responsible for every company obligation. Any such guaranty would require a separate, conspicuous, counsel-approved agreement.
Electronic record notice
Before signing, the signer receives the complete presented agreement bundle, a review screen, and an opportunity to correct identity, purpose, and evaluation fields. The final action is labeled as an electronic signature. The evidence record includes the self-asserted legal identity and authority, exact terms version, document hashes, every covenant assent and typed initials, both capacity acts, server time, and a hash-linked receipt.
Self-entered identity and network evidence can support attribution but do not prove government identity or corporate authority. HomeSifter may verify identity or authority separately. Completed historical records are not silently rewritten; later corrections or status changes should be preserved as additional events.
Nothing restricts lawful reports to government, counsel, or a court, compelled disclosures made through required process, or rights protected by 18 U.S.C. § 1833(b).
